1. Definitions

• "Agreement" means these Terms & Conditions together with any enrolment confirmation issued to you.
• "We / Us / Our" means Nullabyte, based at 9 Lorong Abu Siti, 10400 George Town, Pulau Pinang, Malaysia.
• "You / User" means any person who accesses our website or enrols in a Track.
• "Track" means any of our structured online course programmes: Engineering Foundations for AI, Systems and Serving Track, or Practitioner Capstone Residency.
• "Content" means all course materials, exercises, recorded or live sessions, and supporting documentation provided by us.
• "Submission" means any exercise, code, report, or other work submitted by you to a tutor for assessment.
• "Completion Record" means the written document issued by us upon successful completion of a Track's assessed components.

2. Acceptance of Terms

By accessing our website or submitting an enrolment payment, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not use our website or enrol in a Track.

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of Malaysia. By enrolling, you represent that these conditions are met.

3. Service Description

We provide online educational courses focused on AI and machine learning engineering. Our current Tracks are:

• Engineering Foundations for AI — 7 weeks, RM 495
• Systems and Serving Track — 15 weeks, RM 2,260
• Practitioner Capstone Residency — 22 weeks, RM 4,160

Course materials are delivered online. There are no geographic restrictions on enrolment; fees are charged in Malaysian Ringgit (MYR). We reserve the right to modify Track content and schedules with reasonable notice to enrolled learners.

4. Enrolment and Access

Enrolment is confirmed upon receipt of full payment for the relevant Track. You will receive access instructions by email within 3 business days of payment confirmation. Access is personal, non-transferable, and limited to the individual named at enrolment.

You are responsible for maintaining the confidentiality of any login credentials provided and for all activity that occurs under your access. Sharing credentials with third parties is prohibited and may result in removal from the cohort without refund.

5. User Responsibilities

You agree to:

• Submit only your own original work for assessment. Presenting another person's code or writing as your own is prohibited.
• Participate in the cohort channel in a manner that is professional and respectful toward tutors and other learners.
• Not record, redistribute, or publish course Content without our written permission.
• Not use our website or systems for any unlawful purpose or in any way that may harm other users or our infrastructure.
• Provide accurate information at enrolment and notify us of any changes that affect your ability to complete the Track.

6. Intellectual Property

All course Content, including materials, exercises, recorded sessions, and documentation, is owned by Nullabyte and protected under Malaysian copyright law. We grant you a limited, personal, non-exclusive, non-transferable licence to access and use the Content for your own study during the cohort period and for 24 months thereafter.

You retain ownership of original Submissions you produce. By submitting work for assessment, you grant us a limited licence to read, review, store, and use the Submission for the purpose of providing tutor feedback and issuing your Completion Record.

For Track 03 Capstone projects, ownership of intellectual property developed as part of the project remains with you or your organisation, as applicable. We do not claim any rights to systems, code, or reports produced during the residency.

7. Payment Terms

All fees are stated in Malaysian Ringgit (MYR) and are inclusive of any applicable Malaysian taxes unless otherwise stated. Payment is due in full before enrolment is confirmed.

Refund policy: If you withdraw from a Track before the cohort start date, you are entitled to a full refund less any payment processing fees incurred. Withdrawal within the first 7 days after the cohort start date entitles you to a 50% refund. No refund is available after 7 days from the cohort start date.

To request a refund, email [email protected] stating your name, enrolment date, and reason. Refunds are processed within 14 business days.

8. Course Enrolment and Completion

• A Completion Record is issued only upon passing all assessed components of a Track. Attendance alone does not qualify for a Completion Record.
• Assessment criteria for each exercise are published before the exercise is due. You are expected to review them before submitting.
• If you are unable to submit an exercise by the deadline due to circumstances outside your control, contact us promptly. We will consider extension requests on a case-by-case basis.
• For the Capstone Residency, the scope of the project must be agreed with your assigned mentor before week 2. Changes to scope after that point require mentor approval.
• Cloud credits provided as part of Tracks 02 and 03 are for use within the Nullabyte course infrastructure only and may not be transferred or applied to personal accounts.

9. Disclaimers

Our courses provide education and operational knowledge in the field of AI engineering. We make no representations about employment outcomes, salary outcomes, or the commercial results of systems built using knowledge gained through our Tracks.

Content is provided for educational purposes and does not constitute professional engineering advice for safety-critical systems. You are responsible for evaluating the suitability of any techniques or systems developed using knowledge from our courses for your specific context.

10. Limitation of Liability

To the maximum extent permitted under Malaysian law, our total liability to you in connection with this Agreement shall not exceed the total fees paid by you for the relevant Track in the 12 months preceding the claim.

We are not liable for any indirect, incidental, or consequential loss arising from your use of our website or course materials, including loss of data, loss of revenue, or business interruption, even if we have been advised of the possibility of such loss.

11. Indemnification

You agree to indemnify and hold Nullabyte, its tutors, and staff harmless from any claim, loss, or expense (including reasonable legal costs) arising from your breach of this Agreement, your misuse of course Content, or your violation of any applicable law in connection with your use of our services.

12. Termination

You may withdraw from a Track at any time subject to the refund terms in Section 7. We may remove you from a cohort, with or without refund at our discretion, if you materially breach this Agreement, including submitting work that is not your own, sharing access credentials, or engaging in conduct that disrupts the cohort.

Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) survive termination of this Agreement.

13. Dispute Resolution and Governing Law

This Agreement is governed by the laws of Malaysia. Any dispute arising from or in connection with this Agreement shall first be attempted to be resolved informally by contacting us at [email protected]. We will endeavour to respond within 14 business days.

If informal resolution is not achieved within 30 days, disputes shall be subject to the jurisdiction of the courts of Penang, Malaysia, unless you and we agree in writing to refer the matter to mediation under the Malaysian Mediation Act 2012.

14. General Provisions

• Entire agreement: This Agreement constitutes the entire agreement between you and us in respect of your enrolment and supersedes all prior communications on the same subject.
• Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision of this Agreement on one occasion does not constitute a waiver of that provision.
• Assignment: You may not assign your enrolment or any rights under this Agreement without our written consent. We may assign our rights and obligations to a successor entity.
• Notices: Notices from us will be sent to the email address provided at enrolment. Notices to us should be sent to [email protected].

15. Changes to These Terms

We may update these Terms from time to time. The revised version will be published at this URL with an updated "Last Updated" date. For material changes affecting enrolled learners, we will send notice by email at least 14 days before the changes take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
